Halo Subscription Plan Terms & Conditions

How Consumer Rights Affect the Plan

THE BENEFITS CONFERRED BY THE PLAN ARE IN ADDITION TO ALL RIGHTS AND REMEDIES PROVIDED UNDER CONSUMER PROTECTION LAWS AND REGULATIONS. THIS PLAN SHALL NOT PREJUDICE THE RIGHTS GRANTED BY APPLICABLE CONSUMER LAW, INCLUDING THE RIGHT TO RECEIVE REMEDIES UNDER STATUTORY WARRANTY LAW AND TO SEEK DAMAGES IN THE EVENT OF THE NON-PERFORMANCE BY PAWS LLC OF ANY OF ITS CONTRACTUAL OBLIGATIONS.

  1. The Plan

This contract (the “Plan”) governs the services provided by PAWS LLC under the Halo Subscription Plan program and includes the terms in this document, your Plan Confirmation (“Plan Confirmation”), and the original sales receipt for your Plan. If you purchased your Plan from PAWS LLC (DBA Halo Collar with Cesar Millan), you may obtain a copy of your Plan Confirmation by going https://www.halocollar.com/my-account/.

Benefits under this Plan are additional to your rights under applicable laws, the manufacturer’s hardware warranty and any complimentary technical support.

The Plan covers the Halo Collar unit(s) registered to your Halo Subscription Plan account.

  1. Plan Overview

A Halo Plan provides access to containment and safety features on the Halo Collar(s) to which the Halo Subscription Plan is attached for as long as the Subscription is active. Plan coverage begins when you purchase the Plan and continues, until cancelled as set forth in the “Cancellation” Section 7 below, including in the event that PAWS LLC is no longer able to provide services under the Halo Plan, in which case PAWS LLC will provide you with thirty (30) days’ prior written notice of cancellation, or as otherwise required by law.

You agree to have the credit card (the “Payment Source”) used for your initial Plan purchase kept on file to automatically charge in advance of the first day of each month following your initial purchase to renew your Plan unless cancelled. If your Payment Source cannot be charged for any reason, and you have not otherwise made the appropriate renewal payment on time, your Plan coverage will cease from the renewal due date. PAWS LLC has the right, but not the obligation, to accept any late payment and allow renewal from the date of late payment.

  1. Tiers

The Plan is available in three tiers: Basic; Silver; and Gold. Each tier provides access to differing features, identification of which may be found at <https://www.halocollar.com/plans/>. PAWS LLC may change the features and tiers in its sole discretion.

Customers who purchased their Halo Collar before midnight CDT, Sunday August 18 are awarded an Unlimited Lifetime Silver Plan. Unlimited Lifetime Silver Plan are personal to the original purchaser and cannot be sold, assigned, or otherwise transferred. Any Unlimited Lifetime Silver Plan transferred from the original purchaser may be canceled by PAWS LLC without prior notice, and no refund will be given unless otherwise required by law.

  1. Account Registration

A Halo account is required to activate a Halo Plan. Halo Plans may be selected during the purchase of a Halo Collar from PAWS LLC, or after purchase by logging into your account, clicking on Account/Edit Account Settings/Membership, and following the subscription procedures described there. A 30-day free trial period of a first plan is provided upon activation of a selected Halo Plan. Only one free trial is allowed per household, and the free trial policy is subject to change. Following expiration of the free trial, your Payment Source will be automatically charged the prorated amount for the remaining days in the current billing cycle.

  1. Limitation of Liability and Warranties

To the fullest extent permitted by law:

  1. PAWS LLC shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, economic or pure economic losses, goodwill, use, data, service interruption, computer damage, system failure, inability to use the Halo Plan or other intangible losses, even if a limited remedy set forth herein is found to have failed its essential purpose; and
  2. PAWS LLC’s total liability to you for all claims, in the aggregate, will not exceed the amount actually paid by you to PAWS LLC over the 6 months preceding the date your first claim(s) arose.

If you live in a jurisdiction that does not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation does not apply to you. To the extent that one or any aspect of PAWS LLC’s limitations set out above does not apply, all remaining aspects survive. The exclusions and limitations of damages set forth above are fundamental elements of the basis of the bargain between PAWS LLC and you.

PAWS LLC provides the Halo Plan on an “AS IS” and “AS AVAILABLE” basis. You therefore use the Halo Plan and its features at your own risk. Other than as expressly provided in writing by PAWS LLC in connection with your purchase of a Halo Collar, to the extent permitted by law, PAWS LLC expressly disclaims any and all warranties of any kind, whether express or implied, including, but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, quiet enjoyment and any other warranty that might arise under any law. Without limiting the foregoing, PAWS LLC makes no representations or warranties:

  1. That the Halo Plan is or will be permitted in your jurisdiction;
  2. That the Halo Plan and its services will be uninterrupted or error-⁠free;
  3. Concerning any content, including user content provided to PAWS LLC;
  4. Concerning any third party’s use of user content;
  5. That the Halo Plan will meet your personal or professional needs;
  6. That PAWS LLC will continue to support any particular feature of the Halo Plan; or
  7. Concerning sites and resources outside of the Halo Plan, even if linked to by PAWS LLC.

TO THE EXTENT ANY DISCLAIMER OR LIMITATION OF LIABILITY DOES NOT APPLY, TO THE FULLEST EXTENT PERMITTED BY LAW, ALL APPLICABLE EXPRESS, IMPLIED, AND STATUTORY WARRANTIES WILL BE LIMITED IN DURATION TO A PERIOD OF 30 DAYS AFTER THE DATE ON WHICH YOU FIRST USED THE HALO PLAN, AND NO WARRANTIES SHALL APPLY AFTER SUCH PERIOD.

  1. Subscription

6.1 Monthly Subscription

By purchasing a monthly subscription, you agree to an initial and recurring monthly subscription fee at the then-current rate for the selected tier, and you accept responsibility for all recurring charges until you cancel your subscription. You may cancel your subscription at any time, subject to the terms of our cancellation policy.

6.2 Unlimited Lifetime Silver Plan

If you have an Unlimited Lifetime Silver Plan, no ongoing or recurring charges are required. The Unlimited Lifetime Silver Plan may be upgraded to the Gold tier upon your agreement to an initial and recurring monthly subscription fee at the then-current rate for the gold tier minus a monthly credit of $9.99, provided, however, that at no point shall the monthly cost to upgrade to the Gold tier be reduced below $0.00. If you select to upgrade to the Gold tier, you accept responsibility for all recurring charges until you change your Plan tier. You may change your subscription tier at any time, subject to the terms of the Plan. While a valid Payment Source is not required to be linked to your account in order to participate in the Unlimited Lifetime Silver Plan, a valid Payment Source will be required to upgrade to Gold or to add Halo Care, if you so choose.

6.3 Change of Tier

You may change you selected Plan tier at any time from the My Account section at halocollar.com. If you upgrade your Plan tier, your Payment Source will be automatically charged the prorated amount for the remaining days in the current billing cycle. If you downgrade your Plan tier, your account will be credited for the prorated amount for the remaining days in the current billing cycle; credits will be applied towards your next bill.

6.5 Automatic Renewal

PAWS LLC will continue to automatically process your monthly subscription fee or upgrade fee, as applicable, each month at the then-current rate until you cancel your subscription. We explain how to cancel your monthly subscription below at the “Cancellation” Section 7.

6.6 Automatic Charge

UNLESS YOU CANCEL YOUR MONTHLY HALO PLAN BEFORE A CHARGE IS MADE, YOU UNDERSTAND YOUR HALO SUBSCRIPTION PLAN WILL AUTOMATICALLY CONTINUE AND YOU AUTHORIZE PAWS LLC OR ITS AFFILIATES (WITHOUT NOTICE TO YOU, UNLESS REQUIRED BY APPLICABLE LAW) TO COLLECT THE THEN-APPLICABLE SUBSCRIPTION FEES AND ANY TAXES FOR EACH SUCCESSIVE TERM, USING ANY PAYMENT METHOD WE OR OUR AFFILIATES HAVE ON RECORD FOR YOU. CANCELLATION OF YOUR BASIC, SILVER OR GOLD HALO SUBSCRIPTION PLAN DOES NOT AUTOMATICALLY CANCEL YOUR HALO CARE SUBSCRIPTION, AND CANCELLATION OF HALO CARE DOES NOT AUTOMATICALLY CANCEL YOUR BASIC, SILVER OR GOLD HALO SUBSCRIPTION PLAN. YOU MUST CANCEL THESE PLANS INDEPENDENTLY.

Subscription fees are billed or charged on the first day of the applicable subscription period. If any payment is not received, is returned unpaid or if any credit card or similar transaction is rejected or denied, PAWS LLC and its affiliates reserve the right to cancel your Subscription. If you provide us with a new payment method and are successfully charged before your Subscription is cancelled, your new subscription period will be based on the original renewal date and not the date of the successful charge. PAWS LLC reserves the right to attempt to charge any payment method we or our affiliates have on record for you multiple times in order to effect a payment, including after a start of the next monthly period.

  1. Cancellation

7.1 Your Cancellation Rights

Regardless of your method of purchase, you may cancel this Plan at any time for any reason. You may cancel by logging into your account, clicking on Account/Edit Account Settings/Membership, and following the cancellation procedures described there.

Unless local law provides otherwise, cancellation will be deferred until midnight on the last day of the month for which your last monthly payment was paid and no cancellation refund will be provided. Your failure to timely and fully make any monthly payment will be deemed an expression of your intent to cancel your Plan.

If your cancellation notice is not received at least seven (7) days before the beginning of the next monthly period, you may be charged for the next monthly period. In such cases, unless local law provides otherwise, cancellation will be deferred until midnight on the last day of the next month and no cancellation refund will be provided.

Any cancellation by you of the Halo Subscription Plan applies to all Halo Collars associated with your account.

7.2 PAWS LLC’s Cancellation Rights

If your Payment Source cannot be charged for any reason for amounts due, including the subscription fee, and you have not otherwise made the appropriate payment by the applicable due date, your Plan may be cancelled for nonpayment and your Plan coverage will cease from the due date.

Additionally, unless applicable local law provides otherwise, PAWS LLC may cancel this Plan for fraud or material misrepresentation, for failure to pay any fees owed under the Plan, or, upon thirty (30) days’ prior written notice, PAWS LLC’s discontinuation of services under the plan.

7.3 Effect of Cancellation

Upon the effective date of cancellation, PAWS LLC future obligations under this Plan to you are fully extinguished. If the Halo Plan is cancelled, any established Halo Fence will continue to operate. However, you will no longer be able to create new fences, edit existing fences, track your dog’s location, or receive real-time status updates for the Halo Collar.

  1. General Terms

(a) PAWS LLC may subcontract or assign performance of its obligations to third parties but shall not be relieved of its obligations to you in doing so.

(b) PAWS LLC is not responsible for any failures or delays in performing under the Plan that are due to events outside of PAWS LLC’s reasonable control.

(c) This Plan is offered and valid only in the fifty states of the United States of America. Persons who have not reached the age of majority may not purchase this Plan. This Plan may not be available in all jurisdictions and is not available where prohibited by law.

(d) In carrying out its obligations PAWS LLC may, solely for the purposes of monitoring the quality of PAWS LLC’s response, record part or all of the calls between you and PAWS LLC.

(e) You agree that any information or data disclosed to PAWS LLC under this Plan is not confidential or proprietary to you. Furthermore, you agree that PAWS LLC may collect and process data on your behalf when it provides service. This may include transferring your data to affiliated companies or service providers in accordance with the PAWS LLC Customer Privacy Policy.

(f) The terms of the Plan, including the original sales receipt of the Plan and the Plan Confirmation, shall prevail over any conflicting, additional, or other terms of any purchase order or other document, and constitute your and PAWS LLC’s entire understanding with respect to the Plan.

(g) The Plan will renew automatically, unless cancelled, at the then-current subscription fee rate for the selected tier.

(h) There is no informal dispute settlement process available under this Plan.

(i) Except where prohibited by law, the laws of the State of Texas govern Plans purchased in the United States. If these terms are inconsistent with the laws of any jurisdiction where you purchase this Plan, then the laws of that jurisdiction will control.

(j) Except where required by law, the Plan may not be transferred.

(k) Support services under this Plan may be available in English only.

(h) If any term is found invalid or unenforceable by any court of competent jurisdiction, that term will be enforceable to the maximum extent allowed by law or, if necessary, severed from the remaining terms. No failure or delay by PAWS LLC in exercising any right hereunder will waive any further exercise of that right. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of PAWS LLC. PAWS LLC’s rights and remedies hereunder are cumulative and not exclusive.

  1. Modification

PAWS LLC may update these terms at any time, in its sole discretion. If PAWS LLC does so, you will be notified by, at a minimum, the posting of the updated terms (as indicated by a revised “Last Updated” date at the top of this page) on the PAWS LLC’s website. Modifications will be effective on the date that they are posted to the PAWS LLC’s website. It’s important that you review the terms whenever they are updated. If you continue to use the Halo Plan after the posting of updated terms, you are agreeing to be bound by the updated terms. Because the Halo Plan is evolving over time, PAWS LLC may change or discontinue all or any part of the Halo Plan, at any time and without notice, at its sole discretion.
